1. Introduction

These Terms of Use (“Terms”) are between you and USAble Mutual Insurance Company, which also does business as Arkansas Blue Cross and Blue Shield, and BlueAdvantage Administrators of Arkansas and Skai Blue Cross and Blue Shield, both of which are third-party administrative services divisions of the company. USAble Mutual Insurance Company also has the following affiliated companies: HMO Partners, Inc., d/b/a Health Advantage; USAble HMO Inc., d/b/a Arkansas Blue Medicare and d/b/a Octave Blue Cross and Blue Shield; and USAble PPO Insurance Company, d/b/a Arkansas Blue Medicare Plus. Throughout this notice, we will use the name “Arkansas Blue Cross” (“we,” “our,” or “us”) as a shorthand reference for the divisions and affiliated companies above. Please note that although we are combining this Website Terms of Use for convenient, shorthand reference, and to make it more efficient to inform you about your privacy rights, Arkansas Blue Cross/BlueAdvantage/Skai Blue is a separate company from Health Advantage, Octave and Arkansas Blue Medicare and each company has their own operations, management and compliance responsibilities.

These Terms apply to the website or app from which you accessed this document (the “Site”), including your access to or other use of the Site. These Terms do not apply to other websites, apps, or online services that we control or maintain, but that do not link to these Terms.

Additional terms may apply to your use of the Site (“Additional Terms”), which are presented to you separately and incorporated by reference. For example, we may enter into agreements with insurance agents, employers, or providers. To the extent there is a conflict between these Terms and any Additional Terms, these Terms will govern with respect to your use of the Site unless they expressly state otherwise.

You represent that you are at least the age of majority and have the legal authority to bind yourself or, if you use the Site on behalf of any organization, the organization(s) you are affiliated with, to these Terms.

2. Intellectual Property

The Site may contain materials and other items relating to Arkansas Blue Cross, including the layout, information, databases, articles, posts, text, data, files, images, scripts, designs, graphics, instructions, illustrations, photographs, sounds, pictures, videos, advertising copy, URLs, technology, software, interactive features, and the “look and feel” of the Site including all copyrights, patents, trademarks, service marks, trade names, and all other intellectual property rights therein (together the “Materials”), are owned and controlled by Arkansas Blue Cross, our licensors or certain other parties. All rights, title, and interest in and to the Materials available via the Site are the property of Arkansas Blue Cross or our licensors or certain other parties, and are protected by U.S. and international copyright, trademark, trade dress, and/or other intellectual property rights and laws to the fullest extent possible.

Subject to your strict compliance with these Terms, Arkansas Blue Cross grants you a limited, non-exclusive, revocable, non-commercial, non-assignable, personal, and non-transferable license to display, view, use, or play the Site or Materials on a personal device. The foregoing limited license does not give you any ownership of, or any other intellectual property interest in, any Materials. Your unauthorized use of the Materials may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability. You may not download, copy or embed Arkansas Blue Cross Materials and other downloadable items displayed on the Site except with the express written permission of Arkansas Blue Cross. Arkansas Blue Cross reserves the right to require any party sharing Arkansas Blue Cross Materials to disable or remove the Materials should its use violate Arkansas Blue Cross policies or rights or causes interruption or deterioration of Arkansas Blue Cross Materials.

3. Personal Login Information

Certain features and areas of the Site may be available only with registration or login and registration will require information including your member ID Number or Social Security Number. If you are required to register and select a unique login and password ('Personal Login Information'), you must keep your Personal Login Information confidential, including taking appropriate measures to maintain the confidentiality, such as logging off and closing the internet browser, especially when you are connected to the internet through an unsecured network or when using a public computer. Your Personal Login Information is personal to you, and you may not allow any third-party to use it under any circumstances. Arkansas Blue Cross is not liable for any harm caused by or related to the theft, misappropriation, disclosure, or unauthorized use of your Personal Login Information. You must notify Arkansas Blue Cross immediately if you become aware of or believe there is or may have been any unauthorized use of your Personal Login Information or otherwise wish to deactivate your Personal Login Information due to security concerns. 4. Disclaimers

No Advice. Nothing contained on the Site is intended or shall be construed as any kind of advice or counseling to you. The Site does not offer legal advice, medical advice, health advice, nor any other form of advice or counseling. In making any decisions regarding any matter addressed on the Site you should not rely on Arkansas Blue Cross or the Site for advice as to laws or regulations, or your financial, physical or mental well-being or general health or nutrition. Regardless of any Materials contained on the Site, you should ALWAYS CONSULT YOUR OWN PHYSICIAN ON ANY MEDICAL MATTERS, AND YOUR OWN ATTORNEY ON ANY LEGAL OR REGULATORY MATTERS.

Errors, Omissions or Inaccuracies. We will try to avoid errors, but you should not expect information in the Site to always be current, accurate or error-free because human or machine error may occur, and information may become outdated before we can update the Site; in addition, there is always a possibility of unauthorized postings to the Site, which we may not be able to prevent, detect or deter. Arkansas Blue Cross cannot and does not guarantee or represent the accuracy, timeliness, reliability, or completeness of any Materials or other information contained on the Site.

No Warranties or Representations. Arkansas Blue Cross does not make any warranties or representations of any kind to you or to any other visitor to or user of the Site. All Materials or other information on the Site is provided “AS IS” without warranties of any kind, express or implied. This disclaimer of warranties and representations includes but is not limited to any implied warranties of merchantability or fitness for a particular purpose, or of non-infringement of any ownership or intellectual property rights of any third party.

Viruses or Other Technical or System Issues. Arkansas Blue Cross will not be responsible for any virus or other technical issues you or your computer programs or equipment may experience during or as a result of your use of the Site or of any Materials, nor will Arkansas Blue Cross be responsible for any problems, damages or errors associated with your use of the Site or use of any Materials. In using the Site, you assume 100 percent of all risks associated with such use, including but not limited to any risk of viruses or contamination, any software, hardware or other problems or losses, or any damages or errors related to such use.

Third-Party Links or Content. The Site may link to other online services or contain content provided by third-parties, which are provided as a convenience. If you choose to click through any links from the Site or interact with third-party content, you agree that Arkansas Blue Cross is not and shall not be responsible or liable to you or to others. You further agree that Arkansas Blue Cross, our direct and indirect subsidiaries, affiliates and each of their respective employees, directors, members, managers, shareholders, agents, vendors, licensors, licensees, contractors, customers, successors, and assigns (“Arkansas Blue Cross Parties”) are not responsible for the content of any other online services to which you may link, nor are Arkansas Blue Cross or the Arkansas Blue Cross Parties liable or responsible under any circumstances for the activities, omissions or conduct of any owner or operator of any other online services. Arkansas Blue Cross does not in any way endorse any linked online services, nor state or imply that you should use such online services or obtain or use any services, products or information which may be offered to you through such other online services or by the owner or operator of such other online services. The owners or operators of any other online services are solely responsible for the content and operation of all such online services. Arkansas Blue Cross makes no warranties or representations of any kind, express or implied, nor of merchantability or fitness for a particular purpose, nor of non-infringement, with regard to the content or operation of any other online services. User Generated Content.We welcome your views, comments and other communications, pictures, trackback URLs, or videos on the Site which may include discussion boards, blogs and other services that allow users to provide feedback, comment or content (“User Content”). By adding User Content to the Site, users understand and acknowledge that this information may be available to the public and grant Arkansas Blue Cross a nonexclusive license to display, reproduce, transmit, modify such User Content, and the right to use it for internal and external marketing purposes. Please note that other users may access and distribute posted information beyond the control of Arkansas Blue Cross. Users who do not wish to have their User Content used, published, copied and/or reprinted, should not post on these sites. You are solely responsible for the User Content you submit and agree to indemnify Arkansas Blue Cross against any and all claims and liabilities resulting from that content. Arkansas Blue Cross does not approve, endorse, or adopt any User Content, and Arkansas Blue Cross assumes no liability for any User Content submitted by you or others. Arkansas Blue Cross retains the right to remove any content for any reason, including but not limited to, content that it deems threatening, demeaning, profane, obscene, a violation of intellectual property rights or privacy laws, off-topic, commercial or promotion of organizations or programs, or otherwise injurious or illegal. Arkansas Blue Cross also retains the right to ban or block a user from posting on the Site and any Arkansas Blue Cross social media pages without notice for a pattern of inappropriate postings or as it deems necessary. All User Content must comply with Arkansas Blue Cross Notice of Privacy Practices and Privacy Statement. You acknowledge, consent and agree that Arkansas Blue Cross may access, preserve and disclose your account information and the User Content you have posted if required to do so by law or in a good faith belief that such access, preservation, or disclosure is reasonably necessary in the sole opinion of Arkansas Blue Cross to: (a) comply with legal process; (b) enforce the Terms of Use; (c) respond to claims that any User Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of Arkansas Blue Cross, its administrators, its users and the public.

Infringement Complaints - Digital Millennium Copyright Act Notice. Arkansas Blue Cross respects others' intellectual property rights and has made every effort to secure appropriate clearances for all content that Arkansas Blue Cross directly makes available on the Site, and we ask our users to do the same. Arkansas Blue Cross may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who it suspects to be infringers of intellectual property. Pursuant to the Digital Millennium Copyright Act ('DMCA'), Arkansas Blue Cross has a designated agent to receive notices of alleged copyright infringement claims. If you believe any material on the Site is infringing and has been posted by Arkansas Blue Cross, our users or any other party, you may notify Arkansas Blue Cross of the alleged infringement by contacting Arkansas Blue Cross’ designated DMCA Agent at: Regulatory Affairs, 601 South Gaines Street, LR, AR 72201. Please include the following information in your notice: 1) identification of the work(s) claimed to have been infringed and a statement of ownership to such work(s); 2) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; 3) information reasonably sufficient to permit us to contact you, such as an address, telephone number and e-mail address at which you may be contacted; 4) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; 5) a statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and 6) your physical or electronic signature.

Acts or Omissions of Any Other Person, Company or Entity. You agree that Arkansas Blue Cross is not and shall not be responsible or liable to you or to others for any conduct, misconduct, mistakes, errors or omissions of any other person or company which may in some way affect your use of the Site or of Materials, or the operation or content of the Site, including but not limited to the acts or omissions of unknown third-parties, unauthorized users or bad actors, internet service providers, competitor companies, utility companies, governments, courts, law enforcement authorities, or local, state or federal regulatory agencies.

5. Acceptable Use

By using the Site, you agree to use it and the Materials made available herein solely for your own personal use in the manner in which it is intended and for the legitimate business and informational purposes for which the Site is operated by Arkansas Blue Cross. You further agree that you shall not use or attempt to use the Site or any Materials or other information obtained herein to intentionally or unintentionally violate any applicable local, state, federal, or international law and any regulations having the force of law, or for any harmful purpose, including but not limited to any sabotage, industrial or economic espionage, defamation of any person or company or the humiliation, harassment, intimidation or threatening of any other person or company. You agree that you will not employ at any time nor attempt to enter into the Site any improper data, comments, statements or materials of any kind, including but not limited to any false, fraudulent, defamatory, or scandalous data, statements or accusations, any profanity, any pornographic or sexually explicit materials, images, depictions, diagrams, drawings, illustrations, video displays or references of any kind, nor any material containing or designed or intended to convey any insults to another person based on race, sex, national origin, ethnicity, age, color, disability, sexual orientation or religion. You understand and agree that the Site is a private enterprise owned and operated exclusively for business purposes of Arkansas Blue Cross, and as such that the Site shall not be used by you to solicit any business, nor shall the Site be used by you to promote any personal, political or religious agenda or philosophy of you or any other person or organization.

You agree that Arkansas Blue Cross shall be entitled, if it so chooses, to take steps to bar your continued use of the Site in the event of any improper activity of any kind and further that Arkansas Blue Cross may report any such improper activity to appropriate civil or criminal authorities or agencies, either local, state or federal, and may in certain instances pursue civil action or criminal charges and prosecution against violators. We reserve the right to suspend or terminate your use of the Site with or without cause and without notice to you.

6. Use of the Blueprint Portal Website and App

Biometric identification. We may offer the option to sign in to the Blueprint Portal app (“App”) using biometric identification (Face ID, Touch ID, etc.). At your discretion you can enable or disable these features in the App settings. Arkansas Blue Cross does not store or have access to biometric identification information. You acknowledge that by enabling biometric identification for the App, anyone who has biometric access to your device has access to your account on the App. Make sure the individuals who have biometric identification stored on your device should be authorized to access the personal and account information available through the App. Arkansas Blue Cross reserves the right to suspend or disable biometric identification features at any time.

Push notifications. Push notifications are a mechanism for the App to deliver information, including alerts, sounds and icon badges, to your device. Push notifications may be delivered whether or not you are currently signed in and/or using the App and whether or not your device is in locked and/or in sleep mode. If you do not wish for others to view your notifications, you should adjust the privacy settings for the App on your device. If you do not wish to receive push notifications in the App, you can change your preferences in the App settings. If you allow push notifications from us but later decide you no longer want to receive them, you can adjust your settings at any time via your device notifications settings.

Multi-factor Identification Email and Text messaging. Blueprint Portal leverages the use of email and/or text message (SMS) as a delivery method for multi-factor authentication (MFA). By providing your email and/or mobile phone number, you consent to receiving emails or SMS from us regarding access to your account using your contact information on file. The number of messages Blueprint Portal will send you is based on the number of sign-in attempts by your username. Message and data rates may apply to each text message received related to your Blueprint Portal account, as provided in your mobile telephone service agreement. Please contact your telephone carrier for a detailed breakdown of your service rate plan. We will not impose any separate charges related to sending MFA messages via SMS; however, you are solely responsible for any fees imposed by your mobile phone provider. You always have the option to opt-out of receiving Blueprint Portal MFA messages via email and/or SMS; however by doing so you will be unable to access the Blueprint Portal application as MFA is required.

We respect your privacy and will handle your personal information in accordance with our Privacy Statement. Email and phone numbers specifically provided for MFA will only be used for MFA purposes. No email or phone information provided for MFA will be shared with third-parties/affiliates for marketing/promotional purposes.

7. Digital Communications and Consent for Electronic Notification and Texts

By providing your email address or home or mobile telephone number to Arkansas Blue Cross during enrollment in an Arkansas Blue Cross health insurance plan, or to your employer during enrollment in your employer sponsored health plan (“Plan”), you consent, to the maximum extent allowed by law, to permitting Arkansas Blue Cross (as Plan administrator or third-party administrator) to contact you either directly or through a business associate using your email address or home or mobile telephone number regarding your health insurance Plan or other promotional opportunities. By providing your email address or mobile telephone number you agree that after enrollment we may communicate with you and provide policy information to you electronically for your convenience, such as your health insurance Plan documents, benefits, ID cards, explanation of benefits, claim status, and legal notices regarding your financial, privacy, and healthcare rights under federal law, identification of healthcare providers participating in our networks, disease management, health education and health promotion, preventive care options, wellness programs, treatment options, care coordination, and case management assistance. By providing your mobile telephone number, you agree that automated, informational text messages or pre-recorded or artificial voice messages may be sent to you by or on behalf of your Plan or other business associates to update you about new Plan products, programs or promotions. If you register for Blueprint Portal after enrollment, this allows you to access your documents and information electronically through your own password-protected account. With the Blueprint Portal, your documents can be viewed or printed using your computer or mobile device. The website may be accessed with most versions of Chrome, Firefox, Microsoft Edge, or Safari.

Please note that you are responsible for updating your contact information. Digital communications and electronic delivery will continue through any Plan renewals or other changes.

You can opt-out of electronic communications or manage or update your communication preferences and/or contact information in Blueprint Portal or by calling the customer service number located on your member ID card. You can opt-out of receiving email messages at any time by using the “unsubscribe” link in the email. You can opt-out of receiving text messages at any time by responding STOP to a text message. You can opt-out of pre-recorded or automated voice mail messages by contacting customer service or following opt-out instructions in the message. Standard mobile phone and/or text message charges may apply from your wireless provider. Frequency will vary. Consent to electronic notification and document delivery is not a condition of purchase, enrollment, or coverage. At no cost to you, you also may request a paper copy of a document, regardless of whether it is or has been delivered electronically.

8. Indemnity

As permitted by applicable law, you agree to, and you hereby, defend (if requested by us), indemnify, and hold us and Arkansas Blue Cross Parties harmless from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, fines, penalties, settlements, interest, and expenses (including attorneys’ fees) that directly or indirectly arise from or are related to any claim, suit, action, demand, or proceeding made or brought against any Arkansas Blue Cross Party, or on account of the investigation, defense, or settlement thereof, arising out of or in connection with: (i) your use of the Site, Materials, and your activities in connection with the Site; (ii) your breach or alleged breach of these Terms or any applicable Additional Terms; (iii) your violation or alleged violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities in connection with your use of the Site or your activities in connection with the Site; (iv) information or material transmitted through your device, even if not submitted by you, that infringes, violates, or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy, or other right of any person or entity; (v) any misrepresentation made by you; and (vi) Arkansas Blue Cross Parties’ use of information subject to our Privacy Statement (all of the foregoing, “Claims”). You will cooperate as fully required by Arkansas Blue Cross Parties, in the defense of any Claims. Notwithstanding the foregoing, Arkansas Blue Cross Parties retain the exclusive right to settle, compromise, and pay any and all Claims. Arkansas Blue Cross Parties reserve the right to assume the exclusive defense and control of any Claims. You will not settle any Claims without, in each instance, the prior written consent of an officer of an Arkansas Blue Cross Party. This section is not intended to limit any causes of action against us that you may have but are not waivable under applicable law.

9. Limited Liability

You agree to waive and release the Arkansas Blue Cross Parties from all liability whatsoever which may be caused by, arise from, or in any way relate to your use of the Site or any Claims, including but not limited to any direct, indirect, incidental, special, consequential, exemplary or punitive damages, physical or mental injury or loss, economic loss, loss of profits, injury to reputation or credit standing, emotional distress, psychological injury or loss or other damage or injury of any kind (“Losses”), regardless of whether such Losses allegedly arise from negligence, breach of contract, breach of warranty, breach of fiduciary duty, strict liability or tort.

IN NO EVENT SHALL THE ARKANSAS BLUE CROSS PARTIES’ TOTAL LIABILITY, IN THE AGGREGATE FOR ALL CLAIMS SUBJECT TO THESE TERMS OF USE EXCEED FIVE U.S. DOLLARS (USD $5.00).

10. DISPUTE RESOLUTION – WAIVER OF CLASS ACTIONS AND JURY TRIAL

First - Informal Dispute Resolution. In the event that a disagreement arises between you and us regarding the Site or these Terms (a “Dispute”), you must first contact us directly by emailing [email protected] so that we may work in good faith to find a mutually agreeable solution. If you and Arkansas Blue Cross are unable to resolve a Dispute within sixty (60) days, you and Arkansas Blue Cross agree as permitted by applicable law, to resolve any Dispute as described below.

No Class Action Matters. YOU AND ARKANSAS BLUE CROSS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. There shall be no right or authority for any Dispute to be determined on a class action basis. Disputes must be brought exclusively in a state or federal court in Pulaski County, Arkansas.

Jury Waiver.  AS PERMITTED BY APPLICABLE LAW, THE PARTIES EACH WAIVE ANY RIGHT TO TRIAL BY JURY.

11. Governing Law

These Terms shall be governed by the laws of Arkansas excluding conflict of laws principles. In the event of a Dispute, you agree that you will be subject to the personal jurisdiction of the courts of Pulaski County, Arkansas, for all purposes relating to any civil or criminal action in connection with your violation or with regard to any Dispute.

12. Product Offerings Limited to Arkansas Residents

You understand and agree that the health insurance and health plan business of Arkansas Blue Cross is limited to the State of Arkansas and that Arkansas Blue Cross does not solicit or seek to place any insurance coverage outside the State of Arkansas. Accordingly, you agree that if you are a non-resident of Arkansas, you will disclose your residency accurately and completely and will not accept any health insurance or health plan offering or solicitation of Arkansas Blue Cross even if some such offering or solicitation is mistakenly or inadvertently directed to you as a non-resident of Arkansas, either by machine or human error.

13. General

Electronic Contracting. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that any time you electronically transact, agree, or consent via the Site it is intended to be an electronic signature which binds you as if you had signed on paper. You agree that your use of the Site constitutes agreement to these Terms, and any applicable Additional Terms, then posted without further action by you.

Severability. If any provision (or part of a provision) of these Terms is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable, or illegal, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

Entire Agreement. Except for any Additional Terms that apply to your use of the Site as we may notify or make available to you, this is the entire understanding between you and us regarding the use of the Site and supersedes all prior and contemporaneous agreements and understandings between you and us regarding this subject matter.

Assignment. These Terms are not assignable, transferable, or sublicensable by you except with our prior written consent.

Waiver. Our failure to enforce at any time these Terms, or to require your performance of any of these Terms, will not be construed to be a present or future waiver of these Terms, nor in any way affect our ability to enforce these Terms. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. All rights not expressly granted to you are reserved by Arkansas Blue Cross. No right or license may be construed, under any legal theory, by implication, estoppel, industry custom, or otherwise. Any unauthorized use of the Site and Materials for any purpose is prohibited. Any heading, caption or section title contained in these Terms are inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.

Changes. We may change these Terms at any time. We will notify you of any changes by posting the revised Terms on the Site or by other methods.
